This Agreement, along with our Privacy Policy, FDA Disclaimer, Payment & Shipping Policy, and Returns & Refunds Policy, constitutes the full legal agreement between you ("User," "Customer," or "Purchaser") and Ziri Labs ("Company," "we," "us").

Our products are intended exclusively for laboratory research purposes. This document sets out the legal framework that governs the use of our Services, protecting both parties and ensuring compliance with all applicable laws.

By accessing the website or placing an order, you confirm that you have read, understood, and agreed to these Terms. Continued use of our Services constitutes ongoing acceptance of the Terms and any updates made. If you disagree with any part of the Terms, you must stop using our Services immediately.

These Terms apply to all Users, including casual visitors, registered customers, and purchasers. They cover all aspects of interaction with our website, including browsing, ordering, payment, shipment, and use of our products and features.

All associated policies referenced within are incorporated by reference and are legally binding.

All products sold are strictly for laboratory research.

They are not for:

You are solely responsible for ensuring that your use, storage, and disposal of our Products comply with all local, state, and federal regulations. We disclaim all responsibility for any misuse or legal violations.

You acknowledge that handling research chemicals involves inherent risks. By purchasing from us, you confirm that you:

• Possess the technical expertise to handle such Products
• Assume all risks associated with their use
• Release Ziri Labs from liability for any resulting harm

You voluntarily assume full responsibility for the safe handling and usage of the Products. Ziri Labs is not liable for any damages direct or indirect resulting from their use.

You agree to indemnify and hold harmless Ziri Labs and its affiliates against all claims, damages, liabilities, or expenses arising from:

• Your use of the Products
• Your violation of these Terms
• Your failure to comply with applicable laws

To the maximum extent permitted by law, Ziri Labs' liability is limited to the purchase price of the product in question. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Any legal theory including contract, tort, or negligence

We are not liable for delays or failures caused by circumstances beyond our control, including natural disasters, labor strikes, pandemics, supply chain disruptions, or acts of government.

You must be:

• At least 21 years old
• Legally capable of entering a binding contract
• Authorized to purchase research chemicals in your jurisdiction

We reserve the right to request proof of eligibility.

To make purchases, you may need to create an account. You agree to:

• Provide accurate and current information
• Maintain confidentiality of login credentials
• Notify us immediately of unauthorized access

We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.

Use of the Services must comply with all laws. Any misuse of account privileges may lead to account termination without notice or refund.

When you place an order, you warrant that all information provided is accurate. Orders constitute offers to purchase Products under these Terms.

Receiving an order acknowledgment does not mean acceptance. We reserve the right to reject any order at our discretion. A binding agreement forms only upon our confirmation.

Full payment must be made at the time of ordering. Payments are processed through secure, PCI-DSS-compliant gateways. You are responsible for the accuracy of your payment details.

After confirmation, we prepare and ship the order, typically within 1–2 business days. Shipping timelines may vary. Tracking details will be provided when available.

We are not liable for delays or misdeliveries caused by incorrect shipping information.

Orders can only be changed or canceled before they are processed. Once shipped, they cannot be modified.

This Agreement is governed by the laws of the State of California. The conflict of law principles do not apply.

All legal actions must be filed in the courts located in Los Angeles County, California. You consent to the jurisdiction of those courts.

In case of unresolved disputes, the matter will be submitted to binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association.

Injunctive or equitable relief may still be sought in court.

Ziri Labs will not be held liable for failure or delay in performance due to causes beyond our reasonable control, such as:

• Natural disasters
• War or terrorism
• Internet outages
• Regulatory changes
• Supply chain disruptions

If a Force Majeure event continues for more than 30 days, either party may terminate the affected service with written notice.

We may suspend or terminate your access to our Services for any violation of these Terms, or at our sole discretion.
